1. Description and Submission Period. The TRX® & FACTOR Giveaway begins at 12:00:00 a.m. Pacific Standard Time (PST) on February 6th, 2024, and ends at 11:59:59 p.m. Pacific Standard Time (PST) on February 13th, 2024 (the “Entry Period”).
2. Entrant Eligibility. TRX is entitled to give away its goods for promotional purposes. But as part of this Giveaway, eligible "Entrants" is a person who (i) is a legal resident of the United States, (ii) is at least 18 years old and has reached the age of majority in the state in which he/she resides as of the time of entering the Sweepstakes, (iii) is not on the U.S. Bureau of Industry and Security’s Denied Persons or Entity Lists, is not on the U.S. Treasury Department’s list of Specially Designated Nationals, and is not on the US Department of Commerce’s Table of Denial Orders, and (iv) complies with the Method of Entry & Entry Requirements in Section 4 below. Non-Entrants and/or officers, directors, shareholders, members, managers, partners, employees, agents, and representatives of Sponsors and each of its parent companies, subsidiaries, affiliates, and their promotion agencies, as well as, members of their immediate families (parents, siblings, children and spouses, regardless of where they live), and those persons living in the same household with such persons, whether related or not, are ineligible to enter or win. The Giveaway is subject to all applicable federal, state, and local laws and regulations.
3. Method of Entry: The Sweepstakes must be entered by having the Entrant use one (1) account to follow both TRX and Factor official Instagram and proceed to like the Giveaway post and tag a friend. Each tagged friend, in separate comments, may count as one (1) additional entry per tagged account.
Automated or robotic Entries submitted by individuals or organizations will be disqualified. Any attempt by Entrant to obtain more than the stated number of Entries by using multiple/different email addresses, identities, registrations, logins, or any use of third party and/or through a service will void Entrant's Entries and that Entrant may be disqualified. Final eligibility for the award of any prize is subject to eligibility verification as set forth in Terms and Conditions. All Entries must be posted by the end of the Promotion Period in order to participate.
By participating in Sweepstakes, you agree that TRX may use your information for marketing and promotional purposes. At its discretion, Incomplete entries will be disqualified. All entries become the sole property of the Sponsors and no entry will be acknowledged or returned. In the event of a dispute regarding who submitted an entry, the entry will be deemed submitted by the person who owns the associated email to the account entered into the response, as long as such person is eligible in accordance with these Official Rules.
4. SELECTION OF WINNERS & NOTIFICATION. One (1) winner will be determined by a single, random drawing which will be conducted by Sponsors. Sponsors will determine at its sole and reasonable discretion and based upon the above, if the Winner is qualified and eligible. If a Winner is disqualified or ineligible for any reason, such as residing in a location where the grant is prohibited or restricted by law, then an alternate may be chosen. Sponsors will contact the Winner using the contact information provided by such Winner when completing the entry form / process. The Winner may be required to complete, sign and return a certificate or affidavit of eligibility, a liability release, and, where lawful, a publicity release within five (5) calendar days of notification. In the event of failure to return the documents and/or requested information, or the return of any prize notification as being undeliverable, Winner will forfeit the applicable prize and an alternate Winner may be selected by Sponsors in the same manner as the original random drawing. All decisions of Sponsors are final. Odds of winning each prize are dependent upon the number of eligible entries received.
5. Prize(s): One (1) Winner will be chosen to receive the following: One (1) TRX Pro4 Suspension Training, one (1) year All-Access to TRX Training Club, one (1) set of TRX YBells, and one (1) free month of meals (ten meals x four weeks). (approximate retail value or “ARV”: $1400).
Only one prize will be rewarded. If requested, a Winner shall provide Sponsors with valid identification and a valid taxpayer identification number, social security number or equivalent as a condition of any prize being awarded. Prizes cannot be transferred, redeemed for cash or substituted by winner. The ARV of the prize represents Sponsors’ good faith determination. If the actual value of the prize turns out to be less than the stated ARV, the difference will not be awarded in cash. That determination is final and binding and cannot be appealed. Sponsors makes no representation or warranty concerning the appearance, safety or performance of any prize awarded. Restrictions, conditions, and limitations may apply.
Acceptance of prize constitutes permission from Winner to Sponsors to use Winner’s name, likeness, and entry for purposes of advertising and trade without further compensation including the winner’s name and image.
6. Privacy & Policy Terms. By entering the Giveaway, Entrant consents to the collection, use and disclosure of Entrant’s personal information in accordance with the Policy as needed for the grant of the prize.
7. General Conditions. Sponsors and each of its parent companies, subsidiaries, affiliates, and their promotion agencies as well as each of the foregoing entities’ officers, directors, shareholders, members, managers, partners, employees, agents, and representatives will not have any obligation or responsibility, including any responsibility to award any prize to Entrants, with regard to: (a) entries that contain inaccurate information or do not comply with or violate the Official Rules; (b) entries, prize claims or notifications that are lost, late, incomplete, illegible, unintelligible, damaged or otherwise not received by the intended recipient, in whole or in part, due to computer, human or technical error of any kind; (c) Entrants who have committed fraud or deception in entering or participating or claiming a prize; (d) telephone, electronic, hardware, software, network, Internet or computer malfunctions, failures or difficulties; (e) any inability of any Winner to accept the prize for any reason; (f) if a prize cannot be awarded due to delays or interruptions due to Acts of God, natural disasters, terrorism, weather or any other similar event beyond Sponsors’ reasonable control; or (g) that winner will have to operate safely the gifted service during the duration of the event. Sponsors reserves the right, in its sole discretion, to disqualify any individual. If Sponsors determines, in its sole discretion, that technical difficulties or unforeseen events compromise the integrity or viability of the Giveaway, Sponsors reserves the right to void the entries at issue, and/or terminate the relevant portion of the free gift without any return of information or destruction obligation of any secured information.
8. LIMITATION OF LIABILITY; RELEASE. Sponsors will not be liable for any injury, damage, loss, expense, accident, delay, inconvenience, or other irregularity that may be caused or contributed to (i) by any wrongful, negligent, or unauthorized act or omission of any third party, or (ii) by any cause, condition, or event beyond the control of the Released Parties, including, without limitation, any act of God, war, terrorism, riot, hurricane or fire. This promotion is in no way sponsored, endorsed, or administered by, or associated with Meta, or Instagram, TikTok or LinkedIn or any other media outlet.
